TERMS OF SERVICE – AS WE ARE

Welcome to AS WE ARE (“AS WE ARE”, “we”, “us”, or “our”). These Terms of Service (“Terms”) describe how you can use our website asweare.co (the “Site”) and how we sell products to you through the Site.

By visiting the Site and/or purchasing something from us, you agree to be bound by these Terms, plus any additional policies linked on the Site (such as our Privacy Policy, Shipping Policy, and Refund Policy). If you do not agree, please do not use the Site.

Our store is hosted on Shopify Inc., which provides the online e-commerce platform that allows us to sell our products to you.

1. WHO WE ARE

AS WE ARE is an independent clothing brand based in Portland, Oregon.

All references to “we”, “us”, and “our” in these Terms refer to AS WE ARE and any authorized team members or partners acting on our behalf.

2. USE OF THIS SITE

By using this Site, you agree that:

  • You will only use the Site for personal, non-commercial purposes (other than purchasing AS WE ARE products for yourself or as gifts).

  • You will not use the Site for any illegal or unauthorized purpose.

  • You will not attempt to interfere with the security, operation, or performance of the Site.

You may browse the Site at any age. To place an order, you must either:

  • Be at least the age of majority where you live, or

  • Have permission from a parent or legal guardian who agrees to these Terms on your behalf.

We may refuse access or service to anyone, at any time, if we reasonably believe these Terms have been violated or misuse is occurring.

3. ACCOUNTS & INFORMATION

You may be able to create an account on the Site. If you do:

  • You agree to provide accurate, current, and complete information.

  • You are responsible for keeping your login details secure.

  • You are responsible for all activity that occurs under your account.

If your information changes (email, address, etc.), you agree to update it so we can process orders and contact you if needed.

4. ORDERS & ACCEPTANCE

When you place an order on the Site, you are offering to purchase products from us.

  • We may accept or reject any order at our reasonable discretion.

  • Your order is considered accepted when we send you an order confirmation or shipping confirmation.

  • If we cannot accept your order (for example, due to stock issues, payment problems, or a clear error), we will cancel it and refund any amount you already paid for that order.

We may also limit or cancel quantities purchased per person, per household, or per order. This may include:

  • Orders placed under the same customer account

  • Orders using the same billing or shipping address

  • Orders that appear to be for resale or distribution

If we modify or cancel an order, we may attempt to notify you using the email and/or billing details provided at checkout.

5. PRICING, PAYMENT & TAXES

Pricing

  • All prices are shown in U.S. dollars (USD), unless otherwise stated.

  • Prices may change at any time without prior notice.

  • Prices do not include shipping costs, which are shown at checkout.

We do our best to keep product information and prices accurate. If we discover a clear error in pricing or product details that affected your order, we may cancel the order or contact you to confirm whether you want to continue at the correct price.

Payment

We use Shopify’s payment system and may accept various payment methods (such as credit/debit cards, Shop Pay, Apple Pay, PayPal, etc., depending on what is enabled at checkout).

By submitting payment information, you confirm that:

  • You are authorized to use the payment method provided.

  • The information you provide is true and complete.

Your payment provider must authorize the transaction. If payment is refused or reversed, we are not responsible for any resulting delay or non-delivery.

Taxes & Duties

Depending on your location, sales tax or import/customs charges may apply:

  • Any taxes or duties shown at checkout are your responsibility.

  • For international orders, additional customs fees or import duties may be charged by your country’s customs authority and are not controlled by us.

6. SHIPPING & FULFILLMENT

Full details are contained in our Shipping Policy. In general:

  • AS WE ARE operates in small runs and/or made-to-order production.

  • Garments are sourced from or finished in Los Angeles and printed/finished by us before they ship.

  • Please allow approximately 2–3 weeks for processing and fulfillment before your order is shipped. Transit time is in addition to this processing window.

  • Any “priority” or faster shipping option (if available) refers to carrier transit time only, not production time.

Shipping costs, estimated delivery windows, and available destinations are shown at checkout and/or in the Shipping Policy.

Once we hand a package to the carrier, delays caused by the carrier, customs, weather, or other factors are outside our direct control. We will, however, do our best to help you track and resolve issues.

If your package has not arrived within a reasonable time after your shipping confirmation, please contact us with your order number and tracking information.

7. RETURNS, EXCHANGES & CANCELLATIONS

Please see our Refund / Return Policy for the full and most current terms.

In general:

  • Because many items are made-to-order or produced in limited quantities, returns and exchanges may be limited.

  • Where returns or exchanges are allowed, items must be unworn, unwashed, unaltered, and in original condition, with tags and packaging where applicable, within the timeframe stated in our Refund Policy.

  • Original shipping charges are typically non-refundable, unless required by law or clearly stated otherwise.

  • Unless we made an error, you are usually responsible for return shipping costs.

Order Changes & Cancellations

We can only modify or cancel orders before we begin processing or production. Once production or fulfillment has started, changes may not be possible.

Damaged or Incorrect Items

If you receive an item that is damaged, defective, or not what you ordered:

  • Contact us as soon as possible with your order number and clear photos.

  • We will review the issue and, if confirmed, work with you on a repair, replacement, or refund according to our policy and applicable law.

8. PRODUCT INFORMATION, COLORS & SIZING

We try to photograph and describe our products as accurately as possible. However:

  • Colors may appear slightly different due to screen settings, lighting, and other factors.

  • Slight variations in print, placement, or color can occur between individual pieces, especially in small-batch or hand-finished production.

Size charts and product descriptions are there to guide you, but fit and feel can vary slightly. If you’re unsure about size or fit, you can reach out to us before ordering.

We reserve the right to discontinue or change products at any time without notice.

9. THIRD-PARTY SERVICES & LINKS

Our store runs on Shopify and may use third-party apps or services (for payment, analytics, email, etc.).

The Site may also contain links to websites or services we do not own or control.

We are not responsible for:

  • The content, policies, or practices of any third-party websites or services

  • Any harm or damages arising from your use of them

We encourage you to review the terms and privacy policies of any third-party sites or services you interact with.

10. INTELLECTUAL PROPERTY

All content on the Site — including logos, branding, text, graphics, images, designs, and other materials — is owned by or licensed to AS WE ARE and protected by applicable intellectual property laws.

You may not:

  • Copy, reproduce, distribute, modify, or create derivative works from the Site or its content

  • Use our logo, brand name, or other trademarks without our prior written permission

  • Use our product designs or graphics for your own products or commercial purposes

You are allowed to view and save pages for personal use (for example, screenshots or bookmarks), as long as you do not remove any copyright or proprietary notices and do not use them for commercial purposes.

11. USER CONTENT, REVIEWS & SUBMISSIONS

If you send or share content with us — including reviews, comments, messages, emails, tagged photos, or other material (“User Content”) — you agree that:

  • You are responsible for what you submit.

  • Your content will not violate any third-party rights (including privacy, copyright, or trademark).

  • Your content will not be unlawful, hateful, threatening, harassing, defamatory, or otherwise inappropriate.

By submitting User Content, you give AS WE ARE a non-exclusive, royalty-free, worldwide license to use, reproduce, edit, and display that content in connection with our brand (for example, reposting a photo of you wearing AS WE ARE, or quoting a product review), unless you clearly ask us not to.

We may, but are not required to, monitor, edit, or remove User Content that we reasonably believe violates these Terms or the rights of others.

12. PROHIBITED USES

You agree not to use the Site or its content:

  • For any unlawful purpose

  • To violate any local, national, or international law or regulation

  • To infringe upon our intellectual property rights or the rights of others

  • To harass, abuse, insult, harm, defame, or intimidate any person

  • To submit false or misleading information

  • To upload or transmit any virus, malware, or harmful code

  • To attempt to gain unauthorized access to the Site, other accounts, or our systems

  • To scrape, crawl, or data-mine the Site without our written permission

We may suspend or terminate your access to the Site if we believe you are misusing it or violating these Terms.

13. DISCLAIMER OF WARRANTIES

The Site and all products and services provided through it are offered on an “as is” and “as available” basis, without any warranties of any kind, whether express or implied, to the fullest extent allowed by law.

We do not warrant that:

  • The Site will be uninterrupted, timely, secure, or error-free;

  • Information on the Site will always be accurate, complete, or up to date;

  • Any defects or errors will be corrected immediately.

You use the Site at your own risk. If you are unhappy with the Site or our services, your main remedy is to stop using the Site and, where applicable, follow our return or refund process.

14. LIMITATION OF LIABILITY

To the fullest extent permitted by law, AS WE ARE and its owners, team members, and partners will not be liable for any:

  • Indirect, incidental, special, or consequential damages, or

  • Loss of profits, revenue, data, or goodwill

arising out of or related to:

  • Your use or inability to use the Site

  • Any purchase or use of our products

  • Any content or information on the Site

Our total liability for any claim relating to a purchase you make through the Site will not exceed the total amount you paid for that specific order.

Some regions do not allow certain liability limitations. If those laws apply to you, some of the above limitations may not apply to the extent they are prohibited.

15. INDEMNIFICATION

You agree to indemnify and hold harmless AS WE ARE, its owners, and team from any claim or demand (including reasonable attorneys’ fees) made by any third party due to or arising out of:

  • Your breach of these Terms

  • Your violation of any law or third-party right

  • Your misuse of the Site or our products

16. GOVERNING LAW & DISPUTES

These Terms and any separate agreements whereby we provide products or services to you are governed by the laws of the State of Oregon, and, where applicable, the federal laws of the United States, without regard to conflict of law principles.

Any dispute or claim relating to these Terms or your use of the Site shall be brought in the state or federal courts located in Portland, Oregon (Multnomah County), and you agree to submit to the personal jurisdiction of those courts, except where a different forum is required by consumer protection laws in your region.

17. CHANGES TO THESE TERMS

We may update or modify these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page.

Your continued use of the Site after we post changes means you accept the updated Terms. If you do not agree to the changes, you should stop using the Site.
